byNordic Acquisition Corporation closed its initial public offering of 15,000,000 units for gross proceeds of USD $150 million on February 11, 2022 and subsequently announced the closing of the sale of an additional 2,250,000 units pursuant to a full exercise of the underwriters’ over-allotment option, bringing the total gross proceeds to USD $172,500,000 . The byNordic units started trading on the NASDAQ Global Market, New York on February 9, 2022.

The Company is a blank check company formed for the purpose of effecting a merger, share exchange, asset acquisition, share purchase, reorganization, or similar business combination with one or more businesses. While the Company may pursue an acquisition opportunity in any business, industry, sector or geographical location, it intends to focus on identifying high technology growth companies in the northern part of Europe.

The European tech space (and in particular the Nordics) has been recognized as a region with impressive growth opportunities. byNordic aims to, via its SPAC, offer an entry point to the US public financial markets for European growth companies, and vice versa, an entry point to the European tech market for US public financial investors.

The company has a Nordic-US management team.

The byNordic team share a common background within innovation and public markets experience in Europe as well as in the US, and believe that bridging this gap with local teams both in the Nordics and in New York will give European tech companies and US investors the best of two worlds.

Michael Hermansson

CEO (Sweden), 30+ years leading private equity owned growth and turn-around companies. Triton Investment Advisors and Nordic capital are two of the notable private Equity firms for which Michael has led portfolio companies. He has amassed an extensive merger and acquisition experience from his roles in these companies which he will put to use in byNordics acquisition efforts.

Thomas Fairfield

COO, CFO & Secretary (United States)  Experienced senior manager with service as executive officer in Journey Group Acquisition Co. LLC and prior in Rhino Resource Partners LP, WMIH Corp. and Capmark Financial Group Inc. as well as service as an independent director of several other companies, including Casablanca Holdings GP LLC, Bluestem Brands, Inc. and Courtagen Life Sciences Inc.  Prior to 2006 Mr. Fairfield has also been engaged in private law practice for more than twenty years with a focus on corporate and securities law, including mergers and acquisitions, corporate finance and financial services.

Among others he was co-owner and chief marketing officer in mobile technology software company Tactel that was sold to private equity fund FSN Capital III.

Alexander Lidgren

Co-founder & Director of Marketing (Sweden), Serial tech entrepreneur and energy/green tech investment expert and speaker. He is a board member of Almi Greentech, a Nordic green tech fund. He has also been managing director and co-founder of the investor membership network Cleantech Scandinavia where he sourced more than 700 investments on behalf of more than 100 global venture capital investors.

Christian Merheim

Co-founder & Director of Technology (Sweden), Serial tech entrepreneur who has founded a number of high-tech start-ups within the fields of video over IP (Bokks), parallel computing (Mitrionics) and advanced image processing (Wespot). He entered into fintech and blockchain technology already in 2012 when he co-founded and worked as chief strategy officer of Cryex Group AB.

Steven M. Wasserman

Independent director. New York. Licensed attorney and investment fund principal with prior management positions in investment advisory, investment management and private equity investment firms. A long time advisor to several special purpose acquisition companies as well as a prior position as a special purpose acquisition company CEO.

Anna Yukiko Bickenbach

Independent director. Berlin, Germany. Brings in additional deal sourcing capacity in Germany. She is heavily involved in the German tech scene. She currently serves as Field Marketing Manager EMEA for Planet Labs Inc.

Fredrik Elmberg

Independent director. Hamburg, Germany. Serial entrepreneur, investor, prior private equity fund partner and Harvard alumni. He has an extensive prior experience as CEO and board member from several privately-owned companies.

Anders Norlin

Independent director. Stockholm, Sweden. Former CEO of Swedish finTech hub Findec. Previously been involved in Embassy House a Stockholm based tech hub and incubator and been an investment manager for several private equity firms.
